American Express (AmEx, ticker AXP) has agreed to pay a $350 million penalty to settle a US review of its anti-money laundering controls. Its bank agreed the penalty with the Office of the Comptroller of the Currency (OCC) on 8 October 2026. The parent company accepted a separate order from the Federal Reserve (the Fed).

The Fed published its order after the US market closed. AmEx shares rose 0.33% on 9 October 2026, the first trading day after the Fed's order. That figure is adjusted for a $0.95 dividend. Shares bought from 9 October do not receive it.

What did American Express agree with US regulators? Its bank agreed to pay a $350 million penalty to the OCC over weak anti-money laundering controls. Orders from the OCC and the Fed require fixes, with no cap on the bank's size.

  • The $350 million equals 0.17% of AmEx's market value. It equals 11.3% of AmEx's second-quarter 2026 net income under US accounting rules (GAAP).

  • The OCC found that the bank failed to report about $13 billion of suspected trade-based money laundering in time, from 2014 to 2025. This type of laundering disguises illicit money as payments for goods.

  • AmEx says it set aside part of the penalty in earlier periods. It says its 2026 guidance is unchanged.

What American Express announced

AmEx disclosed the orders in a Form 8-K filing on 8 October 2026. It first reported the regulators' reviews in February 2026. In July it said it expected enforcement action.

American Express National Bank (AENB), AmEx's US card-issuing bank, consented to an order from the OCC, its supervisor. The parent company and its Travel Related Services unit consented to the Fed's order.

A consent order is a binding order a company accepts without a hearing. AmEx neither admitted nor denied the findings. The orders stay in force until the regulators lift them in writing.

AENB will pay the $350 million to the OCC. The Fed's order contains no money penalty.

AmEx says it set aside part of the penalty in earlier periods. That part has already been charged against profit. AmEx has not said how much. It says the penalty does not affect its 2026 guidance.

The orders impose no asset cap, a regulator's limit on how large a bank's balance sheet may grow. AmEx also expects the cost of meeting the orders not to affect its 2027 guidance. It has not yet published 2027 guidance figures.

The OCC's press release says the bank failed to report about $13 billion of suspected trade-based money laundering in time. Trade-based money laundering disguises illicit money as payments for goods. At AmEx it ran through card charges and repayments from about June 2014 to May 2025.

Within 90 days, AmEx owes the Fed written plans to fix its controls. AENB owes the OCC an action plan. It must also hire an outside consultant to look back for suspicious activity it did not report.

How AXP stock reacted

What it means for the valuation

The figures below show the penalty is small for AmEx. The cost of the fixes matters more. So does any further action.

AmEx's market value was $208.1 billion at the 9 October 2026 close, on about 675.3 million shares. The $350 million equals 0.17% of it. It equals 11.3% of AmEx's second-quarter 2026 net income of $3.11 billion under US accounting rules (GAAP).

The penalty equals $0.52 a share. AmEx expects 2026 earnings per share (EPS) of $17.30 to $17.90 (GAAP). It says the penalty does not change that.

At $308.17, the shares trade at 17.5 times the $17.60 midpoint of that GAAP EPS range. This price-to-earnings ratio is the price paid per dollar of expected profit.

The look-back may find more activity to report. The OCC keeps the right to seek further penalties if the problems continue. The Fed's order does not stop other agencies from acting. With no asset cap, AENB can keep growing during the fixes.

What to watch next

AmEx reports third-quarter 2026 results on Friday 23 October 2026. That is also the OCC's deadline for AENB to name a board compliance committee.

Plans for both regulators are due by 6 January 2027, followed by quarterly progress reports to the Fed.

AmEx has settled the review for $350 million. That is small next to its $208.1 billion market value. There is no asset cap. The cost and pace of the fixes now matter more than the penalty.

Common questions about American Express stock

Why was American Express fined $350 million?

The OCC fined American Express National Bank $350 million for weak anti-money laundering controls. The OCC found the bank failed to report about $13 billion of suspected trade-based money laundering in time, from 2014 to 2025. The bank agreed to the penalty on 8 October 2026 without admitting or denying the findings.

No. American Express says the consent orders from the OCC and the Federal Reserve do not impose an asset cap. An asset cap is a regulator's limit on how large a bank's balance sheet may grow. The orders instead require written plans to fix the controls, due by 6 January 2027, plus regular progress reports.

When does American Express report third-quarter 2026 earnings?

American Express reports third-quarter 2026 results on Friday 23 October 2026. The release is due at about 7 a.m. US Eastern time, with a conference call at 8:30 a.m. These will be the first results since the 8 October consent orders. The company says the $350 million penalty does not change its 2026 guidance.
