What it means for the valuation

Devon is selling a small, high-margin part of its business for a headline price worth 7.6% of its market value. The effect per share will depend on tax and on how the cash is used.

Devon had about 1.15 billion shares at 30 June 2026, giving a market value of about $55.5 billion at the 9 October close. The $4.2 billion equals 7.6% of it.

Devon expects third-quarter output of 1.66 million to 1.69 million Boe a day. Crescent's 68,000 is about 4.1% of the midpoint. The price works out at about $61,800 for each Boe a day of output.

In the second quarter of 2026 the Eagle Ford earned a field-level cash margin of $55.39 per Boe, the highest of Devon's five areas. Devon as a whole earned $30.03.

US companies report under generally accepted accounting principles (GAAP). This margin is a non-GAAP measure, outside those rules. It comes before capital spending.

West Texas Intermediate (WTI), the US benchmark crude, averaged $92.47 a barrel that quarter. Devon's chief executive called it "selling a relatively mature asset into a strong commodity price environment."

At 30 June 2026 Devon had net debt of $10,379 million, on its own non-GAAP measure. The price equals 40.5% of it.

Devon's $8.0 billion buyback programme runs to 30 June 2029. Devon had used about $300 million of it by the end of July 2026. The $4.2 billion is 14 times that amount, though part of the cash will go to tax and debt.

What to watch next

Devon reports third-quarter 2026 results on 5 November 2026, with a call on 6 November. Devon says it will then give more detail on the sale and its effect on the outlook.

Crescent priced a $1.0 billion share sale on 8 October to help pay for the assets.

Devon is swapping about 4% of its output for a $4.2 billion headline price, or 7.6% of its market value. Its shares ended the two days 0.8% higher. Diamondback Energy and Occidental Petroleum gained more.
